My professional background includes 15 years of experience as a corporate/M&A lawyer with the top-tier international law firm Baker&McKenzie. In my capacity of Baker&McKenzie partner, I was advising local Ukrainian and international clients on M&A transactions, including English law governed cross-border deals and private equity transactions. I also specialized in joint ventures and transformations and provided sound counsel on general corporate matters to blue chip companies, including on commercialisation and privatisation of the state-owned enterprises in Ukraine. Following the Ukrainian revolution of 2014 (also known as Revolution of Dignity), I was focusing on various policy projects, including advising various state authorities (including the Ministry of Economic Development and Trade of Ukraine, State Property Fund of Ukraine) and international financial institutions on the legislative reforms in Ukraine, including the reform of the corporate governance of the SOEs in general and NAK Naftogas, UkrEnergo in particular, as well as the reform of privatization and PPP legal and institutional frameworks. As a partner, I was leading the design and implementation of the NAK Naftogas Corporate Governance Action Plan approved by the Government of Ukraine in December 2015 and continued to support its implementation in my next two positions.

leading the policy dialog vis-à-vis issuers of securities, including discussions around the principles of the corporate governance for joint-stock companies, registration of securities issuances, and public enforcement in these areas. I continued to be involved in the reform of the corporate governance of the SOEs, contributed to the reform of the corporate governance in the banking sector and was the main driver behind significant corporate law developments in Ukraine, including implementation of Take Over Bid EU Directive and introduction of international standards of corporate governance into Ukrainian legislation and practice.

Enhancing EBRD’s role in policy dialogue with authorities in the region (Ukraine, Moldova, Belarus) in order to create favorable conditions for economic development and enhance governance in respective countries of operations. I was an operational leader for Business Ombudsman Institution (Ukraine), National Investment Council (Ukraine), Ukrainian Network of Integrity and Compliance (Ukraine), Economic Council (Moldova). In addition, I was responsible for supporting various project throughout the region on improving institution capacity of the Governments to exercise ownership function with respect to state ownership as well as projects supporting particular SOEs with their corporate governance enhancement, including design and implementation of CGAPs and long-term strategies.
